Hyperclay Terms of Service

Effective Date: June 10, 2025

1. Open Source by Default

  • You retain ownership of your content.
  • All code you host here is automatically MIT-licensed and publicly visible unless you include a clear, written alternative license in the repo.
  • By uploading, you grant Hyperclay and all users a worldwide, royalty-free license to host, display, and distribute your code under that license.

2. Your Account & Responsibilities

  • You must be 13 years or older.
  • Keep your credentials safe; you're liable for all activity under your account.
  • Provide accurate info and don't misrepresent your identity.

3. What You Can/Can't Host

  • No illegal content, malware, harmful, abusive, or harassing content, or code that infringes anyone's rights.
  • We may remove or disable access to violating content and/or suspend accounts without prior notice.

4. Service Provided "AS IS"

  • Hyperclay is offered "AS IS" and "AS AVAILABLE."
  • No express or implied warranties (merchantability, fitness, non-infringement, uptime, or data retention).
  • Use at your own risk.

5. Limitation of Liability

  • Hyperclay's total liability to you for all claims will not exceed US $100.
  • We are not liable for indirect, incidental, consequential, or punitive damages.
  • If this limitation is unenforceable where you live, you must stop using the Service.

6. Indemnification

  • You'll defend and indemnify us (including legal fees) if a third party sues due to your code or your breach of these terms.

7. Privacy & Data

  • We collect only minimal data needed to operate the Service and improve it (e.g., logs, analytics).
  • Your code is public by design, don't upload sensitive information.
  • Data is processed on servers in the USA.

8. Changes & Termination

  • We can update the Service or these terms at any time; material changes will be posted.
  • Either party may terminate at any time. Sections 1, 4-10 survive termination.

9. Disputes & Governing Law

  • First, try email resolution for 90 days: contact@hyperclay.com.
  • Unresolved disputes go to binding individual arbitration in Somerville, MA; no class actions or jury trials.
  • These terms follow Massachusetts law, excluding conflict-of-law rules.

10. General Rules

  • These terms are the entire agreement; if any part is invalid, the rest stands.
  • We are not responsible for third-party links or content.
  • You can't transfer your rights under these terms without our consent; we may assign ours.

By using Hyperclay, you agree to all of the above.
